Septeni Holdings Enters into Share Transfer Agreement to Make Mediahouse Holdings a Consolidated Subsidiary

SEPTENI HOLDINGS CO., LTD. (Headquarters: Shinjuku-ku, Tokyo; Representative Director: Yuichi Kouno; Securities Code: 4293) has entered into a share transfer agreement with Mediahouse Holdings Co., Ltd. (Headquarters: Shinjuku-ku, Tokyo; Representative Director, President and CEO: Keisuke Hatouchi; hereinafter "Mediahouse Holdings"), a company operating businesses such as corporate recruitment support and marketing support, to acquire its shares and make it a consolidated subsidiary. Moving forward, by combining the strengths of both companies, we will aim to further enhance our presence in the HR market, including performance-based job advertising, as well as in the digital marketing market.

The Septeni Group advocates "VALUE MAXIMIZER" (a partner that maximizes client corporate value) as its mid- to long-term vision. In the Medium-Term Management Plan (FY2026-2028) announced in February 2026, we set "Deepening Businesses" as one of our basic policies, aiming for further business expansion through the creation of Synergy & Collaboration in existing businesses. In addition, under "Exploring Businesses," we position accelerating investment in future revenue pillars as a key initiative.

In recent years, we have been working to further strengthen our client support capabilities by combining job aggregator operational support—leveraging our rich track record and know-how built up through digital advertising operations—with HR DX that improves recruitment and training experiences through the power of technology.

Mediahouse Holdings holds the mission "To vitalize SMB across the nation," operating businesses such as the HR Tech Business centered on recruitment support and the Mar Tech Business handling web marketing. Mediahouse Holdings possesses a client base backed by its long-standing track record in supporting small and medium-sized enterprises (SMBs) and considers providing comprehensive solutions as its major strength, earning high external recognition primarily from job aggregators.
